Official Rules

NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. 

BY ENTERING OR VOTING IN THE CONTEST, ENTRANTS AND VOTERS AGREE TO THESE OFFICIAL RULES, WHICH CREATE A BINDING CONTRACT, SO READ THEM CAREFULLY BEFORE ENTERING. WITHOUT LIMITATION, THIS CONTRACT INCLUDES GRANTS OF RIGHTS AND INDEMNITIES TO THE CONTEST ENTITITES FROM YOU AND A LIMITATION OF YOUR RIGHTS AND REMEDIES.

CONTEST DESCRIPTION:  The Wahl Benevolent Beards Contest (“Contest”) begins April 8, 2024 at 12:00:01 AM Central Time (“CT”) and ends September 1, 2024, at 11:59:59 PM CT. Entrants with a beard will have the opportunity to enter online for a chance to win prizes and be designated the “Wahl Man of the Year” by submitting a video of themselves explaining or demonstrating how they do good deeds in the world for a 501(c)(3) charity.

ELIGIBILITY:  Entrants must identify as male; be 18 years of age or older or the age of majority in their state of residence, whichever is older, at time of entry; and be legal residents of one of the 50 United States or the District of Columbia. This Contest is void where prohibited by law. To be eligible, entrants must have a beard and must be supporting a charity OR engaged in charitable efforts at the time of entry. Finalists, including the Grand Prize winner of the 2023 Wahl  Benevolent Beards Contest are ineligible to enter or win any prize in the Contest.  Employees, officers, and directors of WAHL Clipper Corporation (“Sponsor”) and its parent company, affiliates or subsidiaries, advertising agencies, promotional agencies, judging organization, and any other individual or company involved in the development, promotion, or execution of the Contest, and members of those employees’ immediate families (spouse and parent, children and siblings, and their respective spouses and children, regardless of where they reside), and persons living in the same household (whether or not related) of such employees are ineligible to enter or win. Sponsor will determine in its sole discretion whether a potential entrant meets the eligibility requirements. By participating, entrant agrees to these Official Rules, and the decisions of the Sponsor and/or its independent judges, which are final and binding in all respects. 

HOW TO ENTER:  Beginning April 8, 2024 at 12:00:01 AM CT and ending June 30, 2024, at 11:59:59 PM CT (“Entry Period”), go to Wahl Grooming’s Facebook page (https://facebook.com/wahlgrooming/) or @WahlGrooming on Instagram and click on the “Wahl Benevolent Beards Contest” link to access the Contest Application. Follow the directions to enter the Contest. Submit a video of yourself explaining or demonstrating how you’re doing good in the world by supporting a 501(c)(3) charity (the “Video”), answer questions related to why Wahl should help support your charity efforts, and enter your contact information (collectively, an “Entry”). You must upload your Video to a video-streaming service platform (such as YouTube or Vimeo) to enter, and the link to your video must be posted on the entry form. You do not need to mention Wahl in the video and mentioning Wahl will not increase your chances of winning. All Entries must be received by 11:59:59 PM CT on June 30, 2024, to be considered. Each Entry must comply with the Contest Entry Requirements (defined below) and these Official Rules. Limit one Entry per person. Entries received from any person in excess of the limitation will be void if discovered by Sponsor. Multiple, separate Entries may be submitted from different individuals residing in the same household. No forms of entry other than as stated in these Official Rules will be accepted.

ENTRY REQUIREMENTS:  In addition to the provisions set forth herein, each Entry must comply with the following guidelines or will be subject to disqualification:

1)     The Video must be in English

2)     It is recommended that the Video is less than two minutes long

3)     The Video must be uploaded to a video-streaming platform

4)     It is recommended that the Video is filmed horizontally

In addition to the formatting requirements set forth above, each Entry must comply with the following:

1)   The Video and Answers:

a.   must not have been submitted in any other competition;

b.   must not have been published previously;

c.   must not be inappropriate, offensive, defamatory, or obscene;

d.   must not infringe upon any third party's rights, including, but not limited to, copyright, patent or trademarks/trade names/logos, or rights of privacy or publicity;

2)   The Video and Answers must be the original concept of the entrant, owned solely by the entrant and cannot appear to duplicate any other submitted Entry;

3)   Videos and Answers cannot be sexually explicit or suggestive, unnecessarily violent, or derogatory of any ethnic, racial, gender, religious, professional or age group, profane or pornographic, or contain nudity;

4)   Video and Answers cannot promote cruelty, harm, abuse or exploitation of anyone or anything;

5)   Video and Answers cannot promote alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing), promote any activities that may appear unsafe or dangerous, or promote any particular political agenda or message;

6)   Video and Answers cannot endorse any form of hate or hate group;

7)   Video and Answers must be in keeping with the Sponsor’s image, and may not be offensive, nor can they defame, misrepresent, or contain disparaging remarks about Sponsor or its products or other people, products, or companies, as determined by Sponsor and the Contest Judges in their sole discretion;

8)   Video and Answers cannot advertise or promote any brand or product of any kind (although it is permissible to mention the entrant’s chosen charity), or contain any personal identification, such as license plate numbers, personal names, e-mail addresses or street addresses;

9)   Sponsor recommends that Video and Answers not contain copyrighted materials owned by others (including music, photographs, sculptures, paintings and other works of art or images published on or in web sites, television, movies or other media), and if copyrighted material is used, the entrant must have permission from the copyright owner;

10) Notwithstanding the foregoing, the Video may contain royalty-free music if the one-time license is paid (proof of payment may be required);

11) The Video and Answers may contain copyrighted material (for example, music) that is in the public domain (proof of public domain status may be required);

12) Sponsor recommends that the Video and Answers not contain identifiable individuals (i.e., people whose faces are visible or whose names are used), and if an individual’s identity is used, the entrant must have permission from any such individuals;

13) Videos cannot consist of or contain look-alikes of celebrities or other public or private figures, living or dead;

14) Video and Answers cannot communicate messages or images inconsistent with the positive images and/or goodwill with which Sponsor wishes to associate;

15) Video and Answers cannot violate any law; and

16) Video or Answers cannot contain dangerous, harmful, or otherwise objectionable content, or be deemed to be inappropriate for publication.

If the Video or Answers contain material that is protected by copyright or contain identifiable individuals, Sponsor may ask the entrant to provide evidence that the entrant has permission to use such copyrighted material or the individual’s identity. Failure to provide evidence of such permissions could result in disqualification. If an individual other than the entrant participates in the creation of the Video (whether depicted in the Video or contributing behind the scenes for the Video), that individual will not be eligible to be deemed a Finalist (defined below) or selected as a winner. Any individual who is identifiable in the Video and any individual who could potentially have ownership rights in the Video based on that individual’s role in the creation of the Video may be  required to complete and sign a release (minors must have a parent/legal guardian sign the Release). Entrant will be responsible for identifying such individuals to Sponsor upon request, and, if Sponsor requests, providing signed releases from all such individuals to Sponsor. Entrant represents and warrants that the Video and Answers are in compliance with the submission requirements set forth above, that entrant has received permission from any individual appearing in the Video (if any) to use their name or image and to grant the rights set forth herein, and that entrant has received permission from the owner of any copyrighted material used in the Video or Answers to use their copyrighted material and to grant the rights set forth herein. All Entries will undergo screening for compliance with the guidelines and requirements set forth in these Official Rules, and Sponsor may post certain Videos on its Facebook page, WahlUSA.com and on Wahl’s other social networks. The posting of a Video on Sponsor’s Facebook page, WahlUSA.com and its other social pages is not an indication that an Entry is likely to be chosen as a Finalist (defined below) or winner. By submitting your Entry, you agree that your Entry conforms to these Official Rules and that Sponsor, in its sole discretion, may disqualify your Entry for any reason, including if it determines, in its sole discretion, that your Entry fails to conform to these Official Rules in any way or otherwise contains unacceptable content as determined by the Sponsor, in its sole discretion. BY SUBMITTING AN ENTRY, ENTRANT ACKNOWLEDGES THAT THE VIDEO MAY BE POSTED ON SPONSOR’S WEBSITE, ITS FACEBOOK PAGE AND OTHER SOCIAL PAGES, AND/OR ON THE CONTEST PLATFORM, IN SPONSOR’S DISCRETION, and entrant, on behalf of entrant and on behalf of any individual who appears in the Video, grants Sponsor and its agents an unlimited, worldwide, perpetual, license and right to publish, use, and publicly perform the Video in any way, in all media, without limitation, and without consideration to the entrant. Sponsor reserves the right not to post or, after posting, to remove, a Video for any reason. Once your Entry has been submitted, you will not be permitted to change the Entry. FINALIST SELECTION

Round One: All eligible Entries will be evaluated and reviewed by an initial judging panel appointed by the Sponsor and consisting of employees of the Sponsor’s marketing team to determine whether the Entry complies with these Official Rules and to score the Entry based on the following judging criteria:

1)     Video and Answers exhibit enthusiasm for charitable efforts, and intention to maintain those efforts by participating in a Mobile Barbershop fundraising event (70%)

2)     Well-groomed beard (30%)

Prior to the close of the Entry Period, Sponsor may begin provisionally reaching out to entrants with the potential to advance to round two to begin the background check process. This does not mean the individuals contacted have been selected to advance to round two, because entrants who advance to round two will not be confirmed until after the close of the Entry Period. At the end of round one, the top five entrants with the highest score will advance to round two.

Round Two: On or about June 24, 2024, and ending on or about July 27, 2024, Sponsor will attempt to contact entrants with the highest score (approximately five to 10 entrants) after round one for a phone interview (“Interview”) that will constitute round two of the Contest. Potential round two participants must respond within 72 hours of initial notification attempt and confirm their participation in the Interview. If a potential round two participant fails to respond to the initial notification by the deadline set forth above or is not in compliance with these Official Rules (including eligibility requirements), Sponsor may select an alternate round two participant (the round one Entry with the next highest score) if time permits. The potential Finalists’ performances in the Interviews will be judged based on the following judging criteria:

1)     General enthusiasm for facial hair

2)     Potential for brand ambassadorship for the WAHL Brand

The five highest overall scoring Entries (combination of round 1 and round 2 scores) will be deemed finalists (“Finalists”), pending confirmation that they meet the eligibility requirements. The round 1 and round 2 scoring criteria will be combined as follows to determine the highest overall scoring Entries:

1)     Video and Answers exhibit enthusiasm for charitable efforts, and intention to maintain those efforts by participating in a Mobile Barbershop fundraising event (50%)

2)     Well-groomed beard (20%)

3)     General enthusiasm for facial hair (15%)

4)     Potential for brand ambassadorship for the WAHL Brand (15%)

Finalists will move on to the Public Voting phase for a chance to win the Grand Prize and the title of Wahl Man of the Year. If there is a tie for the fifth Finalist position, the score for “Video and Answers exhibit enthusiasm for charitable efforts, and intention to maintain those efforts by participating in a Mobile Barbershop fundraising event” will be the tiebreaker.

FINALIST NOTIFICATION AND VERIFICATION

Sponsor will attempt to notify the potential Finalists by email or telephone. Potential Finalists must respond within 48 hours of initial notification attempt and confirm their participation and acceptance of the Finalist designation. All potential Finalists must also sign and return an Affidavit of Eligibility/Release of Liability Form, Publicity Release (where lawful), a Release from any recognizable individuals in the Video, a Federal Form W-9 (with a valid Social Security number) and submit a photocopy of a valid government issued photo ID (either driver’s license or passport) as validation to verify he is the person in the Video, within 72 hours of the time Sponsor sends forms to potential Finalist. If potential Finalist fails to respond to initial notification by the deadline set forth above, fails to sign and return required documents or provide identification by the deadlines set forth above, refuses to cooperate with a background check (as set forth below), or is not in compliance with these Official Rules (including eligibility requirements), Sponsor may select an alternate Finalist (the non-Finalist Entry with the next highest score) if time permits.

WINNER SELECTION

Public Voting:  Beginning on or about August 12, 2024 at 9:00:00 AM CT and ending on or about September 1, 2024 at 5:00:00 PM CT (the “Voting Period”), the five confirmed Finalist Entries will be posted for public voting on the contest app on @WahlGrooming Facebook page (https://www.facebook.com/wahlgrooming/). At the end of the Voting Period, a potential Wahl Man of the Year winner will be chosen based on the results of the public vote (40%) and the score from a second and different judging panel appointed by Sponsor based on the following criteria (60%):

Judging Criteria:

1)     Video and Answers exhibit enthusiasm for charitable efforts, and intention to maintain those efforts by participating in a Mobile Barbershop fundraising event. (50%)

2)     Well-groomed beard (20%)

3)     General enthusiasm for facial hair (as demonstrated in the Interview) (15%)

4)     Potential for brand ambassadorship for the WAHL Brand (as demonstrated in the Interview) (15%)

The entrant who submitted the Entry with the highest total score will be declared the Grand Prize winner and receives the title of Wahl Man of the Year. If there is a tie for the Grand Prize, the score for “Video and Answers exhibit enthusiasm for charitable efforts, and intention to maintain those efforts by participating in a Mobile Barbershop fundraising event” will be the tiebreaker. The Grand Prize winner will be announced on or around October 1, 2024.

CONDITIONS APPLICABLE TO VOTERS: Each voter must be located in the United States at the time he or she casts his or her vote, and each vote must be routed through servers located in the United States. Voter must be at least 13 years old. Each voter is limited to one vote. The use of automated devices for voting is not permitted and will result in the disqualification of all votes received through that method and/or from that voter, if discovered by Sponsor. Any use of robotic, repetitive, automatic, programmed, script, macro, or any other automated means or similar participation methods or agents, vote exchange websites, vote “farming” or other method to vote or unfairly increase votes, as determined by Sponsor in its sole discretion, is prohibited and will void all votes submitted by that voter, if discovered by Sponsor. Sponsor will determine the eligibility of voters and votes in its sole discretion and may disqualify votes at any time. 

CONDITIONS APPLICABLE TO FINALISTS WITH REGARD TO VOTING: Finalists must play fair and must not engage in activities that unfairly or improperly encourage voting for themselves or discourage voting for others. If Sponsor concludes, in its sole discretion, that any Finalist has colluded with a voter to violate any of the restrictions set forth above or has participated in or actively encouraged any of the activities set forth above, whether directly or indirectly, Sponsor may disqualify that Finalist from further participation in the Contest and or eligibility for prize. Finalists may encourage friends, family, and supporters to cast votes on their behalf, but Finalists must not engage in any of the following activities to encourage voting:

·       Offer a sweepstakes or contest to potential voters;

·       Force their employees to vote;

·       Pay or provide any other form of consideration to voters to vote;

·       Use robotic, repetitive, automatic, programmed, script, macro, or any other automated means or similar participation methods or agents, vote exchange websites, vote “farming” or other method to vote or unfairly increase votes; 

·       Misrepresent themselves to voters (for example, by overstating their accomplishments); or 

·       Take any means that Sponsor deems unfair or unsporting to encourage voting.

Similarly, Finalists may not discourage voting for other Finalists. Finalists may not do any of the following on social media or by other means of public communication:

·       Denigrate another Finalist;

·       Criticize another Finalist;

·       Make misrepresentations about another Finalist;

·       State that they will make better use of the prize than another Finalist; or

·       Treat another Finalist in a manner that Sponsor deems unfair or unsporting.

Sponsor will determine in its sole discretion whether Finalists have complied with the foregoing voting rules and may disqualify a Finalist at any time if Sponsor has reason to believe that Finalist has violated any of the foregoing rules on voting, or directed any third party to violate the restrictions, or otherwise colluded with a third party to violate the restrictions, Sponsor may either give the Finalist a warning or disqualify the Finalist, with either action to be in the sole discretion of Sponsor.

BACKGROUND CHECKS: The potential Finalists must agree to a background check, to complete a background check release, and to provide any information that Sponsor reasonably requests to conduct a background check, including Social Security number, and understand that no further notice is required to be provided to them by Sponsor with respect to such background check, and that Sponsor has the right, but not the obligation to conduct such background check prior to identifying a potential Finalist. Factors that may result in disqualification as a Finalist, in Sponsor’s sole discretion, include, without limitation, negative driver history or record, criminal arrests or convictions, civil law suits alleging misconduct - either settled or still pending, and any other fact or allegation that, in Sponsor’s reasonable discretion, would be inconsistent with the image, messages, and goodwill that Sponsor seeks to convey and be associated with, whether such facts are revealed to Sponsor in connection with a background check or otherwise. If a potential Finalist is disqualified for any reason, the non-Finalist entrant with the next highest scoring Entry may be declared a potential Finalist, as applicable, or the Sponsor may elect not to designate a Finalist, as applicable.

WINNER NOTIFICATION AND VERIFICATION:  After the close of the Voting Period, Sponsor will attempt to notify the potential winner by email or telephone. The potential winner must complete, sign and return, within 72 hours of the time of notification, an Affidavit of Eligibility/Release of Liability Form, Publicity Release (where lawful), a Release from any individuals appearing in the Video and from any individuals who may conceivably have an ownership interest in the Video, and Federal Form W-9 (with a valid Social Security number) as well as any other documents required by Sponsor. As a condition of winning and qualifying for the prize, the potential Wahl Man of the Year will be required to have a beard at the time the prize is awarded. The winner also will be required to cooperate in publicity activities in connection with the Contest as reasonably required by Sponsor for a period of one-year after the awarding of the prize (the “Publicity Period”), and this may include agreement not to participate in publicity activities for other brands during the Publicity Period. Wahl may schedule a Mobile Barbershop fundraising experience near the winner’s hometown for a beard grooming visit and check presentation event for the winner and the winner’s charity. Details about the location, date, and times of the Wahl Mobile Barbershop event will be announced after the winner has been confirmed and are subject to change or cancellation at any time. Winner will not receive any compensation for publicity activities, and winner’s refusal to participate in such activities could result in forfeiture of prize. Winner must also be deemed to project an image consistent with Wahl’s corporate values during the Publicity Period, and, if Sponsor determines in its sole discretion that winner has failed to do so, winner may forfeit prize. If the releases or any required documentation are not returned within 72 hours, if any prize notification or any prize is returned as undeliverable, if a potential winner does not respond within 24 hours of initial notification attempt, or if a potential winner is found to be ineligible, declines the prize, or otherwise is not in compliance with these Official Rules, the prize may be forfeited, and the Finalist with the next highest score may be declared a potential winner, or the Sponsor may elect not to designate a winner. Winner may be required to forfeit prize after it is awarded if he violates any of the agreements signed with Sponsor.

PRIZES

5 Finalist Prizes: One WAHL Pro Series High Visibility Trimmer (exact make and model to be determined solely by the Sponsor), $500 check for the Finalist, and a $500 check sent directly to the 501(c)(3) charity of Finalist’s choice. The approximate retail value (“ARV”) of the Finalist Prize is $649.99.

One Grand Prize: In addition to the Finalist prize, the Grand Prize winner will receive $20,000 in the form of a check, $5,000 charity donation through a Mobile Barbershop fundraising event to the 501(c)(3) charity of Grand Prize winner’s choice, and the title of Wahl Man of the Year.

Total ARV of all prizes: $23,249.95

Only the stated number of prizes in these Official Rules will be awarded. All other expenses not specified herein are the responsibility of the winners. If an inadequate number of qualified Entries are received to award the prizes or some of the prizes, Sponsor reserves the right to award fewer than the number of prizes stated above.

All federal, state, and/or local taxes (including income taxes), duties, and the like, if any, are the sole responsibility of the winner. The Finalists will be issued an IRS 1099 form for the value of the Finalist prize. The Grand Prize winner will be issued an IRS 1099 form for the value of the Grand Prize, and the Finalist prize. No substitution, assignment, redemption for cash, or transfer of any prizes permitted, except that Sponsor reserves the right to substitute a prize of equal or greater value if an offered prize becomes unavailable. Actual value of prizes may vary based on consumer electronic industry fluctuations. Winner will not receive difference between actual and approximate retail value.

Allow eight to 10 weeks for shipment of all prizes. Sponsor shall not be held responsible for any delays in awarding any prize for any reason outside of their control. All prize details are at Sponsor’s sole discretion. A prize will be delivered only to a verified Finalist or Grand Prize winner.

GENERAL:  By participating in the Contest, entrants agree to release and to indemnify and hold harmless Sponsor, Facebook, Inc., Instagram, and their parent companies, affiliates, subsidiaries, retailers, franchisees, advertising and promotion agencies, judging organization, and any other individual or company involved in the development, promotion, or execution of the Contest, including Premier Business Solutions, LLC, and all of their respective officers, employees, directors, representatives and agents (individually and collectively “Releasees”) from all liability, losses, claims, action, or proceedings, losses, all injuries and damages of any kind to person(s), including death or property resulting, in whole or in part, directly or indirectly, from entrant’s participation in the Contest or any Contest-related activities, or violation of intellectual property or personal rights (such as but not limited to, copyright, patent, trade name/trademark, and/or rights of privacy or publicity or portrayal in a false light) due in whole or in part to acceptance, possession, misuse or use of any prize; or participation in this Contest, or participation in any Contest-related activity and from Sponsor’s use of the Video and Answers as provided for herein. By claiming a prize, the Finalists and winner agree to confirm that consent in writing upon request, to Sponsor and those acting pursuant to the authority of Sponsor, the right, in perpetuity, to the use of his name, voice, picture, image and/or likeness (and notwithstanding anything to the contrary in these Official Rules, Finalists and Grand Prize winner license the use of their Video and Answers to Sponsor, which may be altered, changed, modified, edited, used alone, together or with other works, and/or in distorted form, as solely determined by Sponsor) at any time(s) and in all media now known or hereafter discovered, worldwide, including on the Internet and World Wide Web, for advertising, commercial, trade and promotional purposes without additional compensation unless prohibited by law, and without notice, review or approval. Entrant agrees that submissions are gratuitous, unsolicited and without restriction, and will not place Sponsor under any obligation, and that Sponsor is free to disclose the ideas contained therein on a non-confidential basis to anyone or otherwise use the ideas without restriction and without any additional compensation to entrant. Entrant acknowledges that, by acceptance of his Entry, Sponsor does not waive any rights to use similar or related ideas from any source. Any waiver of any obligation hereunder by Sponsor does not constitute a general waiver of any obligation to entrant. By entering, entrant acknowledges that Sponsor has no obligation to use or post any Entry submitted and further agrees he will not post or publicly make any disparaging or negative comments about Sponsor or its parent, affiliates, or subsidiaries, or any of their products on any web site or in any other type of media during the Contest Period. If a dispute arises regarding compliance with these Official Rules, Sponsor may consider, in its sole discretion, data reasonably available to Sponsor through information technology systems in Sponsor’s control, but Sponsor will not be obligated to consider any data or other information collected from any other source. Any failure by Sponsor to enforce any of these Official Rules will not constitute a waiver of such Official Rules. If there is a conflict between any term of these Official Rules and any marketing or entry materials used in connection with the Contest, the terms of these Official Rules will govern.

LIMITATIONS OF LIABILITY:  Releasees are not responsible for lost, late, incomplete, damaged, inaccurate, stolen, illegible, delayed, misdirected, separated, or non-delivered Entries; or for lost, interrupted or unavailable satellite, unavailable network, server, Internet Service Provider, website or other connections availability, accessibility or traffic congestion, or miscommunications, or failed computer, network, telephone, satellite, or cable hardware, software or lines, or technical failure, or jumbled, scrambled, delayed, or misdirected transmissions, or computer hardware or software malfunctions, failures or difficulties, or other errors of any kind whether human, mechanical, electronic or network, including typographical, printing, or the incorrect or inaccurate capture of entry or other information or the failure to capture, or loss of, any such information with the administration of the Contest, the processing or judging of Entries, the tabulation of votes, the announcement of the prizes, Finalists, or Grand Prize winner, the incorrect uploading of the Video or in any Contest-related materials. Releasees are not responsible for any incorrect or inaccurate information, whether caused by website users, or by any equipment or programming associated with or used in this Contest, and assume no responsibility for any error, omission, interruption, deletion, defect or delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or tampering with or hacking of the entry process or voting app. Sponsor reserves the right, at its sole discretion, to disqualify any individual (entrant or voter) it finds to be tampering with the entry process, the voting process, or operation of the Contest or to be acting in violation of the terms of the applicable social media platform or voting app or if such entrant or voter shows a disregard for, or attempts to circumvent, these Official Rules; or if such entrant or voter threatens the integrity of the Contest by posting or otherwise disseminating material on Instagram, Facebook, or any other social network that is offensive, vulgar, obscene, or defames anyone or any entity; or if such entrant or voter acts: (i) in a manner the Sponsor determine to be not fair or equitable; (ii) with an intent to annoy, threaten or harass any other entrant, voter or Sponsor; or (iii) in any other disruptive manner. Releasees are not responsible for injury or damage to entrant’s or any other person’s computer related to or resulting from participating in this Contest or downloading, printing, or copying materials from or use of social media or the voting app. If, for any reason, Contest is not capable of running as planned by reason of infection by computer virus, worms, bugs, tampering, hacking, unauthorized intervention, fraud, technical failures, or any other causes that, in the sole opinion of the Sponsor, corrupt or affect the administration, security, fairness, integrity or proper conduct of this Contest, Sponsor reserves the right, at its sole discretion, to cancel, terminate, modify, or suspend Contest. If Sponsor terminates the Contest during the Entry Period, Sponsor will determine the Finalists from eligible, non-suspect Entries received prior to action taken, or as otherwise deemed fair and equitable by Sponsor, and Sponsor will determine the Grand Prize winner by applying the judging criteria set forth above but without a public vote, or as otherwise deemed fair and equitable by Sponsor. If Sponsor terminates the Contest during the Voting Period, Sponsor will determine the Grand Prize winner from eligible, non-suspect votes received prior to action taken and by applying the https://www.wahlusa.com/judging criteria set forth above, or as otherwise deemed fair and equitable by Sponsor. If Sponsor terminates, modifies, or suspends the Contest, Sponsor shall post notice at www.WahlUSA.com and on Sponsor’s Facebook and Instagram pages.

DISPUTES:  As a condition of entering, entrants agree (a) under no circumstances will entrant be permitted to obtain awards for, and participant hereby waives all rights to claim punitive, incidental, consequential, or any other damages, other than for actual out-of-pocket expenses; (b) all causes of action arising out of or related to this Contest, or any prize awarded, will be resolved individually, without resort to any form of class action; and (c) all claims, judgments and award will be limited to actual out-of-pocket costs incurred, excluding attorneys' fees and court costs. 

JURISDICTION/CHOICE OF LAW:  By entering, entrants agree that this Contest will be governed by the laws of the State of Illinois and agree to venue and jurisdiction solely in Whiteside County, Illinois for the resolution of all disputes.
