T DESCRIPTION:
The 2019 WAHL Man of the Year Contest (“Contest”) begins June 8, 2019 at 12:00:00 AM Central Time (“CT”) and ends October 18, 2019 at 11:59:59 PM CT (the “Promotion Period”). Men 18 years of age or older will have the opportunity to enter online by posting a photo showing off their “well-groomed” facial hair using the Facebook contest app or at “WAHL Mobile Tour” events.
ELIGIBILITY: Entrants must be male, 18 years of age or older at time of entry, and must be legal residents of one of the 50 United States or the District of Columbia. This Contest is void where prohibited by law. To be eligible, entrants must have facial hair at the time of entry; winners of any prior WAHL Man of the Year Contest prize (including WAHL Man of the Market, WAHL Man of Anytown, and WAHL Man of the Year prize winners) are ineligible to enter or win any prize in this Contest. Employees, officers and directors of WAHL Clipper Corporation (“Sponsor”) and its parent company, affiliates or subsidiaries, and advertising and promotional agencies, judging organization, and any other individual or company involved in the development, promotion, or execution of the Contest, and members of those employees’ immediate families (spouse and parent, children and siblings, and their respective spouses and children, regardless of where they reside), and persons living in the same household (whether or not related) of such employees are ineligible to enter or win. By participating, entrant agrees to these Official Rules, and the decisions of the Sponsor and/or its independent judges, which are final and binding in all respects.
TO ENTER:
There are three ways to enter:
1. Online Entry via Facebook:

) (“Website”) during the Promotion Period and click on the “WAHL Man of the Year” page tab to access the Contest Application. Follow the directions to enter the Contest. Submit a creative photo showing off your “well groomed” facial hair (“Photo”), and enter your contact information (collectively, an “Entry”). The photo you submit must be a photo of you and only you, must be a full frontal photo of your entire head (head, neck, and shoulders only), and your face may not be obscured in any way by any objects other than your facial hair (e.g., sunglasses). All Entries must be received by 11:59:59 PM CT on October 18, 2019 to be considered.
2. “WAHL Mobile Tour” Event Entry: You will also be able to enter in person during 10 scheduled “WAHL Mobile Tour” events (each, an “Event”). You must live within a 50-mile radius of the venue where the Event is being held to be eligible to compete for the WAHL Man of the Market for that Event. If you do not live within the 50-mile radius of the venue where the Event is being held, but meet the eligibility criteria specified above, you may still enter at the Event and you will be considered for the WAHL “Man of Anytown” prize along with those individuals who enter online. To view a detailed schedule of Events, visit www.WahlUSA.com . There will be a photo area at each Event, as well as on-site entry forms (while supplies last). Have your photo taken showing off your ‘well-groomed” facial hair (also a “Photo”), then complete the on-site entry form and give your completed entry form and photo to a WAHL representative (also an “Entry”). Entries must be legibly printed, or they will not be considered in the Contest.
3. Trade Show Event Entry: You will also be able to enter in person at Made in America 2019 at the Indiana Convention Center in Indianapolis from October 3-6, 2019 (the “Trade Show Event”). If you enter at the Trade Show Event, you will be considered for the WAHL “Man of Anytown” prize, not for a Man of the Market prize. There will be a photo area at the Trade Show Event, as well as on-site entry forms (while supplies last). Have your photo taken showing off your “well-groomed” facial hair (also a “Photo”), then complete the on-site entry form and give your completed entry form and photo to a WAHL representative (also an “Entry”). Entries must be legibly printed, or they will not be considered in the Contest.
Limit one Entry per person, regardless of method of entry. Entries received from any person in excess of the limitation will be void if discovered by Sponsor. Multiple, separate Entries may be submitted from different individuals residing in the same household; however, only one Man of the Market or Man of Anytown winner per household is allowed. If more than one person from a single household is selected as a potential Man of the Market or Man of Anytown winner, the independent judging panel will determine the winner. No forms of entry other than as stated in these Official Rules will be accepted.
Contest Entry Requirements: The following guidelines set forth by the Sponsor must be followed for an Entry to be eligible:
1) Photos:
a. may not have been submitted in any other competition;
b. may not have been published;
c. must not be inappropriate, offensive, defamatory or obscene;
d. must not infringe upon any third party's rights, including, but not limited to, copyright, patent or trademarks/trade names/logos, or rights of privacy or publicity;
2) Photos submitted online must be the original and sole creation of the entrant, owned solely by the entrant, and must be a current photo (one taken after January 1, 2019) of the entrant;
3) Any Photo, in the sole opinion of the judges and/or Sponsor, found to contain dangerous, harmful or objectionable content, or deemed to be inappropriate for publication or to otherwise violate any of the above requirements, will be deemed ineligible;
4) Photos cannot be sexually explicit or suggestive, unnecessarily violent or derogatory of any ethnic, racial, gender, religious, professional or age group, profane or pornographic, or contain nudity;
5) Photos cannot show or promote cruelty, harm, abuse or exploitation of anyone or anything;
6) Photos cannot promote alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing), promote any activities that may appear unsafe or dangerous, or promotes any particular political agenda or message;
7) Photos cannot endorse any form of hate or hate group; or appear to duplicate any other submitted Entry;
8) Photos must be in keeping with the Sponsor’s image, and may not be offensive, nor can they defame, misrepresent or contain disparaging remarks about Sponsor or its products or other people, products or companies, as determined by Sponsor and the Contest Judges in their sole discretion;
9) Photos cannot contain trademarks, logos or trade dress (such as distinctive packaging or building exteriors/interiors) owned by others, without permission; or advertise or promote any brand or product of any kind, or contain any personal identification, such as license plate numbers, personal names, e-mail addresses or street addresses;
10) Photos cannot contain copyrighted materials owned by others (including photographs, sculptures, paintings and other works of art or images published on or in web sites, television, movies or other media), without permission;
11) Photos cannot contain materials embodying the names, likeness, voices, or other indicia identifying any person, including, without limitation, celebrities and/or other public or private figures, living or dead, without permission;
12) Photos cannot consist of or contain look-alikes of celebrities or other public or private figures, living or dead;
13) Photos cannot communicate messages or images inconsistent with the positive images and/or goodwill to which Sponsor wishes to associate; and
14) Photos cannot violate any law.
All Entries, whether posted online or submitted at an Event or at the Made in America 2019 Trade Show Event, will undergo screening for compliance with the guidelines and requirements set forth in these Official Rules. By submitting your Entry, you agree that your Entry conforms to these Official Rules and that Sponsor, in its sole discretion, may disqualify your Entry for any reason, including if it determines, in its sole discretion, that your Entry fails to conform to these Official Rules in any way or otherwise contains unacceptable content as determined by the Sponsor, in its sole discretion. BY SUBMITTING AN ENTRY, ENTRANT ACKNOWLEDGES THAT HIS ENTRY MAY BE POSTED ON SPONSOR’S WEBSITE AND/OR ON THE CONTEST PLATFORM, IN SPONSOR’S DISCRETION. Submission of an Entry grants Sponsor and its agents an unlimited, worldwide, perpetual, license and right to publish, use, publicly perform the Entry in any way, in any and all media, without limitation, and without consideration to the entrant. Sponsor reserves the right not to post or, after posting, to remove, an Entry for any reason. Once your Entry has been submitted, you will not be permitted to change the Entry. The entry information provided is subject to WAHL’s Privacy Policy. To read that Policy, access www.WahlUSA.com and then click the “Privacy Policy” button. Entries become the property of Sponsor, and will not be acknowledged or returned.

HL Man of the Market Selection:
Round One:
On or around the week following an Event, all eligible Event Entries from that Event will be reviewed by an initial judging panel appointed by the Sponsor and consisting of employees of the Sponsor’s design and marketing team to determine whether the Entry complies with these Official Rules and to score the Entry based on the following judging criteria:
1) Photo portrays “well groomed” facial hair (50%)
2) Creativity & uniqueness of personal style of the facial hair in the Photo (50%)
If there is a tie for the third position in the market, the score for “Photo portrays ‘well groomed’ facial hair” will be the tiebreaker.
Round Two: The top three entrants from each market will be named finalists (“Man of the Market Finalists”). Sponsor will attempt to contact each Man of the Market Finalist for a phone interview to determine the potential Man of the Market Winner for each market. Man of the Market Finalists will be judged based on the following judging criteria:
1) General enthusiasm for facial hair (25%)
2) Photo portrays “well groomed” facial hair (25%)
3) Potential for brand ambassadorship for the WAHL Brand (50%)
If the judging panel is not able to reach a Man of the Market Finalist or conduct a phone interview within five days of the first attempt to contact the Man of the Market Finalist for any reason, if a Man of the Market Finalist fails to provide required identification or sign required documents by the deadlines set by Sponsor, or if a Man of the Market Finalist is found to be ineligible, declines the Man of the Market Finalist position, or otherwise is not in compliance with these Official Rules, the Man of the Market Finalist will forfeit his opportunity to be considered for the WAHL Man of the Market and the next highest scoring entrant from Round One in that market may be contacted and given the opportunity to be a Man of the Market.
The Man of the Market Finalist with the highest score for each market will be deemed the potential Man of the Market winner for that market. If there is a tie, the score for “potential for brand ambassadorship for the WAHL Brand” will be the tiebreaker. Each Man of the Market winner will receive a Man of the Market Prize (described below) and will be eligible for the WAHL Man of the Year portion of the Contest. The two Man of the Market Finalists in each market who are not chosen as the winner for that market will receive Finalist Prizes (described below).

HL Man of Anytown Selection:
Round One:
On or around the week following the Promotion Period, all eligible online Entries and Made in America 2019 Trade Show Event Entries and other Entries received at Events from eligible individuals residing outside of the market will be reviewed by an initial judging panel appointed by the Sponsor and consisting of employees of the Sponsor’s design and marketing team to determine whether the Entry complies with these Official Rules and to score the Entry based on the following judging criteria:
1) Photo portrays “well groomed” facial hair (50%)
2) Creativity & uniqueness of personal style of the facial hair in the Photo (50%)
If there is a tie for the third position, the score for “Photo portrays ‘well groomed’ facial hair” will be the tiebreaker.
Round Two: The top three entrants will be named finalists (each a “Man of Anytown Finalist”). Sponsor will attempt to contact each Man of Anytown Finalist for a phone interview to determine the potential Man of Anytown winner. Man of Anytown Finalists will be judged based on the following judging criteria:
1) General enthusiasm for facial hair (25%)
2) Photo portrays “well groomed” facial hair (25%)
3) Potential for brand ambassadorship for the WAHL Brand (50%)

The Man of Anytown Finalist with the highest score in Round Two of the judging will also be declared the potential WAHL Man of Anytown winner. If there is a tie, the score for “potential for brand ambassadorship for the WAHL Brand” will be the tiebreaker. The Man of Anytown winner will receive the Man of Anytown Prize (described below) and will also be eligible for the WAHL Man of the Year portion of the Contest. The two Man of Anytown Finalists who are not chosen as the Man of Anytown will receive Finalist Prizes (as described below).

HL Man of the Year Selection:
Beginning on or about November 18, 2019 at 9:00:00 AM CT and ending on or about December 2, 2019 at 5:00:00 PM CT (the “Voting Period”), the Entries from the verified WAHL Man of the Market winners and from the Contest voting application on the WAHL Grooming Facebook page (
https://www.facebook.com/wahlgrooming/
) for public voting. At the end of the Voting Period, a potential WAHL Man of the Year will be chosen based on the results of the public vote (40%) and the score from a second and different judging panel appointed by Sponsor based on the following criteria (60%):
Judging Criteria:
1) General enthusiasm for facial hair (25%)
2) Photo portrays “well groomed” facial hair (25%)
3) Potential for brand ambassadorship for the WAHL Brand (50%)
The entrant who submitted the Entry with the highest total score will be declared the WAHL Man of the Year. If there is a tie for first, the score for the “potential for brand ambassadorship for the WAHL Brand” criteria will be the tiebreaker. The WAHL Man of the Year will be announced on or around December 12, 2019.
Conditions Applicable to Voting: Each voter must be located in the United States at the time he or she casts his or her vote, and each vote must be routed through servers located in the United States. Voter must be at least 13 years old. Each voter is limited to one vote. The use of automated devices for voting is not permitted and will result in the disqualification of all votes received through that method and/or from that voter, if discovered by Sponsor. Any use of robotic, repetitive, automatic, programmed, script, macro, or any other automated means or similar participation methods or agents, vote exchange websites, vote “farming” or other method to vote or unfairly increase votes, as determined by Sponsor in its sole discretion, is prohibited and will void all votes submitted by that voter, if discovered by Sponsor. Sponsor will determine the eligibility of voters and votes in its sole discretion and may disqualify votes at any time. Moreover, if Sponsor concludes, in its sole discretion, that any entrant has colluded with such voter or has participated in or actively encouraged such activity, whether directly or indirectly, Sponsor may disqualify that entrant from further participation in the Contest and or eligibility for prize.
B A C K G R O UN D CHECK FOR POTENTIAL WINNERS: The potential WAHL Man of the Market and WAHL Man of Anytown winners must agree to a background check and to provide any information that Sponsor reasonably requests to conduct a background check, including Social Security number, and understand that no further notice is required to be provided to them by Sponsor with respect to such background check, and that Sponsor has the right, but not the obligation to conduct such background check prior to identifying a potential winner. Factors that may result in disqualification as a WAHL Man of the Market or Man of Anytown, in Sponsor’s sole discretion, include, without limitation, negative driver history or record, any drug or alcohol dependency, criminal arrests or convictions, civil law suits alleging misconduct - either settled or still pending, and any other fact or allegation that, in Sponsor’s reasonable discretion, would be inconsistent with the image, messages, and goodwill that Sponsor seeks to convey and be associated with, whether such facts are revealed to Sponsor in connection with a background check or otherwise. If a potential WAHL Man of the Market or Man of Anytown winner is disqualified for any reason, the entrant with the next highest scoring Entry in that Entry pool, may be declared a potential winner for that Entry pool, or the Sponsor may elect not to designate a winner for that Entry pool.
WINNER NOTIFICATION AND CLAIMING A PRIZE: Sponsor will attempt to notify potential WAHL Man of the Market and potential Man of Anytown winners via email or phone within approximately two weeks of their selection. Potential winners must complete, sign and return, within seven days of the date of notification, an Affidavit of Eligibility / Release of Liability Form, Publicity Release (where lawful), Federal Form W-9 (with a valid Social Security number) and submit a photocopy of a valid government issued photo ID (either driver’s license or passport) as validation to verify he is the person in the Photo. Potential winners must also complete and sign a background check release.
WAHL Man of the Year winner must complete, sign and return, within seven days of the date of notification, an Affidavit of Eligibility / Release of Liability Form, Publicity Release (where lawful) and Federal Form W -9 (with a valid Social Security number) as well as any other documents required by Sponsor. As a condition of winning and qualifying for the prize, the potential WAHL Man of the Year winner will be required to have facial hair at the time the prize is awarded. The potential WAHL Man of the Year winner also will be required to cooperate in publicity activities in connection with the Contest as reasonably required by Sponsor, and this may include agreement not to participate in publicity activities for other brands. If the releases or any required documentation are not returned within seven days, if any prize notification or any prize is returned as undeliverable, if Sponsor is unable to contact a potential WAHL Man of the Year winner within a reasonable period, or if a potential WAHL Man of the Year winner is found to be ineligible, declines the prize, or otherwise is not in compliance with these Official Rules, the prize may be forfeited, and the entrant with the next highest scoring Entry may be declared a potential WAHL Man of the Year winner, or the Sponsor may elect not to designate a WAHL Man of the Year. WAHL Man of the Year winner will be announced approximately two to three weeks after public voting ends and the final round of judging takes place.
PR I ZES:
22 Finalist Prizes (two Man of the Market Finalists in each of 10 markets and the two Man of Anytown Finalists): One WAHL Lithium Ion MultiGroom Trimmer (exact make and model to be determined solely by the Sponsor). The approximate retail value (“ARV”) of the WAHL Finalist Prize is $39.99.
10 WAHL Man of the Market Prizes: One WAHL 100th Anniversary Commemorative Box containing a limited-edition trimmer and wet goods (beard softener, beard wash, beard oil, hair styling pomade, face & body bar), and a $500 general use prepaid card. The ARV of the WAHL Man of the Market Prize is $674.93.

O ne WAHL Man of the Year Prize: In addition to the WAHL Man of the Market (or Man of Anytown) prize, the WAHL Man of the Year will receive a $1,000 general use prepaid card.
T otal ARV of all prizes: $9,304.01.
All Federal, State, and local taxes (including income taxes), duties, and the like, if any, are the sole responsibility of the winner. The WAHL Man of the Market and WAHL Man of Anytown Winners will be issued an IRS 1099 form for the value of the Man of the Market and Man of Anytown prize. The WAHL Man of the Year Winner will be issued an IRS 1099 form for the value of the Grand Prize and the Man of the Market (or Man of Anytown) prize. No substitution, assignment, redemption for cash, or transfer of any prizes permitted, except that Sponsor reserves the right to substitute a prize of equal or greater value if an offered prize becomes unavailable. Actual value of prizes may vary based on consumer electronic industry fluctuations. Winner will not receive difference between actual and approximate retail value.
Allow 8 to 10 weeks for shipment of all prizes. Sponsor shall not be held responsible for any delays in awarding any prize for any reason outside of their control. All prize details are at Sponsor’s sole discretion. A prize will be delivered only to a verified winner.
G ENE R A L: By participating in the Contest, entrants agree to release and to indemnify and hold harmless Sponsor and its parent companies, affiliates, subsidiaries, retailers, franchisees, advertising and promotion agencies, judging organization, and any other individual or company involved in the development, promotion, or execution of the Contest, including Premier Business Solutions, LLC, Facebook, Inc., and all of their respective officers, employees, directors, representatives and agents (individually and collectively “Releasees”) from all liability, losses, claims, action, or proceedings, losses, any and all injuries and damages of any kind to person(s), including death or property resulting, in whole or in part, directly or indirectly, from entrant’s participation in the Contest or any Contest related activities, or violation of intellectual property or personal rights (such as but not limited to, copyright, patent, trade name/trademark, and/or rights of privacy or publicity or portrayal in a false light) due in whole or in part to acceptance, possession, misuse or use of any prize; or participation in this Contest, or participation in any Contest-related activity. By claiming a prize, the winners agree to confirm that consent in writing upon request, to Sponsor and those acting pursuant to the authority of Sponsor, the right, in perpetuity, to the use of his name, voice, picture, image and/or likeness (and notwithstanding anything to the contrary in these Official Rules, WAHL Man of the Year Winner license the use of their photo to Sponsor, which may be altered, changed, modified, edited, used alone, together or with other works, and/or in distorted form, as solely determined by Sponsor) at any time(s) and in all media now known or hereafter discovered, worldwide, including on the Internet and World Wide Web, for advertising, commercial, trade and promotional purposes without additional compensation unless prohibited by law, and without notice, review or approval. Entrant agrees that submissions are gratuitous, unsolicited and without restriction, and will not place Sponsor under any obligation, and that Sponsor is free to disclose the ideas contained therein on a non-confidential basis to anyone or otherwise use the ideas without restriction and without any additional compensation to entrant. Entrant acknowledges that, by acceptance of his Entry, Sponsor does not waive any rights to use similar or related ideas from any source. Any waiver of any obligation hereunder by Sponsor does not constitute a general waiver of any obligation to entrant. By entering, entrant acknowledges that Sponsor has no obligation to use or post any Entry submitted and further agrees he will not post or publicly make any disparaging or negative comments about Sponsor or its parent, affiliates or subsidiaries, or any of their products on any web site or in any other type of media. If a dispute arises regarding compliance with these Official Rules, Sponsor may consider, in its sole discretion, data reasonably available to Sponsor through information technology systems in Sponsor’s control, but Sponsor will not be obligated to consider any data or other information collected from any other source. Any failure by Sponsor to enforce any of these Official Rules will not constitute a waiver of such Official Rules. If there is a conflict between any term of the Official Rules and any marketing or entry materials used in connection with the Contest, the terms of these Official Rules will govern.
LIMITATIONS OF LIABILITY: Releasees are not responsible for lost, late, incomplete, damaged, inaccurate, stolen, illegible, delayed, misdirected, separated, or non-delivered Entries; or for lost, interrupted or unavailable satellite, unavailable network, server, Internet Service Provider, Website or other connections availability, accessibility or traffic congestion, or miscommunications, or failed computer, network, telephone, satellite, or cable hardware, software or lines, or technical failure, or jumbled, scrambled, delayed, or misdirected transmissions, or computer hardware or software malfunctions, failures or difficulties, or other errors of any kind whether human, mechanical, electronic or network, including typographical, printing, or the incorrect or inaccurate capture of entry or other information or the failure to capture, or loss of, any such information with the administration of the Contest, the processing or judging of Entries, the tabulation of votes, the announcement of the prizes, the incorrect uploading of the Photo or in any Contest-related materials. Releasees are not responsible for any incorrect or inaccurate information, whether caused by Website users, or by any equipment or programming associated with or utilized in this Contest, and assume no responsibility for any error, omission, interruption, deletion, defect or delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or tampering with or hacking of the Website. Sponsor reserves the right, at its sole discretion, to disqualify any individual (entrant or voter) it finds to be tampering with the Entry process or operation of the Contest or Website, to be acting in violation of the terms of the Website or to be acting in a non-sportsmanlike or disruptive manner, or in a threatening, abusive, or harassing manner. Releasees are not responsible for injury or damage to entrant’s or any other person’s computer related to or resulting from participating in this Contest or downloading, printing or copying materials from or use of Website. If, for any reason, Contest is not capable of running as planned by reason of infection by computer virus, worms, bugs, tampering, hacking, unauthorized intervention, fraud, technical failures or any other causes which, in sole opinion of the Sponsor, corrupt or affect the administration, security, fairness, integrity or proper conduct of this Contest, Sponsor reserves the right, at its sole discretion, to cancel, terminate, modify or suspend Contest. If Sponsor terminates the Contest during the Promotion Period, Sponsor will determine the Man of the Market and Man of Anytown winners from eligible, non-suspect Entries received prior to action taken, or as otherwise deemed fair and equitable by Sponsor, and Sponsor will determine the WAHL Man of the Year winner by applying the judging criteria set forth above but without a public vote, or as otherwise deemed fair and equitable by Sponsor. Sponsor will not award prizes for Events that are not held. If Sponsor terminates the Contest during the Voting Period, Sponsor will determine the WAHL Man of the Year winner from eligible, non-suspect votes received prior to action taken and by applying the judging criteria set forth above, or as otherwise deemed fair and equitable by Sponsor. If Sponsor terminates, modifies, or suspends the Contest, Sponsor shall post notice at www.WahlUSA.com .
