BY ENTERING OR VOTING IN THE CONTEST, ENTRANTS AND VOTERS AGREE TO THESE OFFICIAL RULES, WHICH CREATE A BINDING CONTRACT, SO READ THEM CAREFULLY BEFORE ENTERING. WITHOUT LIMITATION, SUCH CONTRACT INCLUDES GRANTS OF RIGHTS AND INDEMNITIES TO THE CONTEST ENTITITES FROM YOU AND A LIMITATION OF YOUR RIGHTS AND REMEDIES.

 

CONTEST DESCRIPTION: The Wahl College Cuts Championship (“Contest”) begins March 1, 2022 at 12:00:01 AM Central Time (“CT”) and ends May 4, 2022 at 11:59:59 PM CT. The phrase “look good, feel good, play good” has countless applications — but it’s especially true for college athletes. For many, looking good starts with a fresh haircut. For this reason, Wahl wants to celebrate the best hairstyles across college basketball – and eventually crown a “college cuts champion.” Wahl will assemble a field of college basketball’s eight coolest clipper cuts and then conduct a single-elimination, bracket-style competition to determine which college basketball player is the “college cuts champion.”

 

ELIGIBILITY: Entrants must be 18 years of age or older at time of entry and be legal residents of one of the 50 United States or the District of Columbia. This Contest is void where prohibited by law. To be eligible, entrants must be college basketball players. For purposes of this Contest, a college basketball player is someone who competed for his or her college basketball team during the 2021-22 season. A college basketball team is any team that competes at the “varsity” level against other college teams (junior varsity teams, club teams, and intramural teams do not qualify). A college is any accredited two or four-year college located in the 50 United States or DC. A player will have competed for his or her team if he or she recorded one minute or more of playing time during the 2021-22 season. A POTENTIAL ENTRANT SHOULD NOT PARTICIPATE IN THIS CONTEST IF HE OR SHE HAS ANY REASON TO BELIEVE THAT DOING SO WILL JEOPARDIZE HIS OR HER ELIGIBILITY TO COMPETE. A potential entrant should check with his or her university/college’s compliance department or compliance officer if the potential entrant has any concerns about competing in this Contest or winning a prize in this Contest – in particular whether participation would potentially put the potential entrant in jeopardy of violating any name-image-likeness laws or rules. Employees, officers, and directors of WAHL Clipper Corporation (“Sponsor”) and its parent company, affiliates or subsidiaries, and advertising and promotional agencies, judging organization, and any other individual or company involved in the development, promotion, or execution of the Contest, and members of those employees’ immediate families (spouse and parent, children and siblings, and their respective spouses and children, regardless of where they reside), and persons living in the same household (whether or not related) of such employees are ineligible to enter or win. Sponsor will determine in its sole discretion whether a potential entrant meets the eligibility requirements. By participating, entrant agrees to these Official Rules, and the decisions of the Sponsor and/or its independent judges, which are final and binding in all respects.

 

HOW TO ENTER: Beginning March 1, 2022 at 12:00:01 AM CT and ending March 29, 2022 at 11:59:59 PM CT (“Entry Period”), go to Wahl Grooming’s Facebook page (https://facebook.com/wahlgrooming/) or @wahlgrooming on Instagram and click on the “Wahl College Cuts Championship” page tab to access the Contest Application. Follow the directions to enter the Contest. Submit a photo of yourself that displays your clipper cut (the “Photo”), provide answers to the qualifying questions regarding your haircut (“Answers”), and accurately enter your contact information (collectively, an “Entry”). All Entries must be received by the close of the Entry Period to be considered. Each Entry must comply with the Contest Entry Requirements (defined below) and these Official Rules. Limit one Entry per person. Entries received from any person in excess of the limitation will be void if discovered by Sponsor. Multiple, separate Entries may be submitted from different individuals residing in the same household. No forms of entry other than as stated in these Official Rules will be accepted.

 

ENTRY REQUIREMENTS: In addition to the provisions set forth herein, each Entry must comply with the following guidelines or will be subject to disqualification:

 

1)     The Answers must be in English

 

2)     The Photo must include just the entrant, no other people are allowed.in the photo. The photo should showcase the entrant’s hairstyle, but their face must also be visible. It is recommended the photo be shot vertically. The photo file should be a good resolution quality .jpg, .jpeg, .png, or .gif, and no more than 50MB.

 

 

In addition to the requirements set forth above, each Entry must comply with the following:

 

1)     The Photo and Answers:

a.     may not have been submitted in any other competition;

b.     may not have been published;

c.     must not be inappropriate, offensive, defamatory, or obscene;

d.     must not infringe upon any third party's rights, including, but not limited to, copyright, patent or trademarks/trade names/logos, or rights of privacy or publicity;

 

2)     The Photo cannot include an entrant’s school logo, trademarks, or other intellectual property owned by the university or college;

 

3)     The Photo and Answers must be the original and sole creation of the entrant, owned solely by the entrant;

 

4)     Any Photo or Answers, in the sole opinion of the judges and/or Sponsor, found to contain dangerous, harmful or objectionable content, or deemed to be inappropriate for publication or to otherwise violate any of the above requirements, will be deemed ineligible;

 

5)     Photo and Answers cannot be sexually explicit or suggestive, unnecessarily violent or derogatory of any ethnic, racial, gender, religious, professional or age group, profane or pornographic, or contain nudity;

 

6)     Photo and Answers cannot show or promote cruelty, harm, abuse or exploitation of anyone or anything;

 

7)     Photo and Answers cannot promote alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing), promote any activities that may appear unsafe or dangerous, or promotes any particular political agenda or message;

 

8)     Photo and Answers cannot endorse any form of hate or hate group; or appear to duplicate any other submitted Entry;

 

9)     Photo and Answers must be in keeping with the Sponsor’s image, and may not be offensive, nor can they defame, misrepresent or contain disparaging remarks about Sponsor or its products or other people, products or companies, as determined by Sponsor and the Contest Judges in their sole discretion;

 

10)  Photo and Answers cannot advertise or promote any brand or product of any kind, or contain any personal identification, such as license plate numbers, personal names, email addresses or street addresses;

 

11)  Photo and Answers cannot contain copyrighted materials owned by others (including music, photographs, sculptures, paintings and other works of art or images published on or in web sites, television, movies or other media), without permission;

 

12)  Photo and Answers cannot contain materials embodying the names, likeness, voices, or other indicia identifying any person (other than the entrant), including, without limitation, celebrities and/or other public or private figures, living or dead;

 

13)  Photos cannot consist of or contain look-alikes of celebrities or other public or private figures, living or dead;

 

14)  Photo and Answers cannot communicate messages or images inconsistent with the positive images and/or goodwill with which Sponsor wishes to associate; and

 

15)  Photo and Answers cannot violate any law.

 

Entrant represents and warrants that the Photo and Answers are in compliance with the submission requirements set forth above and that entrant has the ability to grant the rights set forth herein. All Entries will undergo screening for compliance with the guidelines and requirements set forth in these Official Rules, and Sponsor may post certain Photos and Answers on its Facebook page, Instagram page, WahlUSA.com, and Wahl’s other social channels. The posting of a Photo and/or Answers on Sponsor’s Facebook page, Instagram page, WahlUSA.com, or Wahl’s other social channels is not an indication that an Entry is likely to be chosen as a Finalist (defined below) or winner. By submitting your Entry, you agree that your Entry conforms to these Official Rules and that Sponsor, in its sole discretion, may disqualify your Entry for any reason, including if it determines, in its sole discretion, that your Entry fails to conform to these Official Rules in any way or otherwise contains unacceptable content as determined by the Sponsor, in its sole discretion. BY SUBMITTING AN ENTRY, ENTRANT ACKNOWLEDGES THAT HIS OR HER PHOTO AND/OR ANSWERS MAY BE POSTED ON SPONSOR’S WEBSITE, ITS FACEBOOK PAGE, ITS INSTAGRAM PAGE, AND ITS OTHER SOCIAL PAGES, AND/OR ON THE CONTEST PLATFORM, IN SPONSOR’S DISCRETION, and entrant grants Sponsor and its agents an unlimited, worldwide, perpetual, license and right to publish, use, and publicly perform the Photo and Answers in any way, in all media, without limitation, and without consideration to the entrant. Sponsor reserves the right not to post or, after posting, to remove, a Photo or Answers for any reason. Once your Entry has been submitted, you will not be permitted to change the Entry. FINALIST SELECTION: All eligible Entries will be evaluated and reviewed by an initial judging panel appointed by the Sponsor and consisting of employees of the Sponsor’s marketing team to determine whether the Entry complies with these Official Rules and to score the Entry based on the following judging criteria:

 

1)     Photo portrays admirable hairstyle that’s been achieved with the use – at least in part – with a clipper (50%)

2)     Answers exhibit enthusiasm for maintaining a hairstyle the entrant is proud of, as well as a desire to accomplish athletic achievements (30%)

3)     Potential for future Wahl brand ambassadorship (20%)

 

Prior to the close of the Entry Period, Sponsor may begin provisionally reaching out to entrants with the potential to advance become Finalists to begin the background check process. This does not mean the individuals contacted have been selected as Finalists because Finalists will not be confirmed until after the close of the Entry Period. The eight highest overall scoring Entries will be deemed finalists (“Finalists”), pending confirmation that they meet the eligibility requirements, and will move on to the bracket phase (“Bracket Phase”) for a chance to win the first and second-place prizes. If there is a tie for the eighth Finalist position, the score for “Photo” will be the tiebreaker.

 

FINALIST NOTIFICATION AND VERIFICATION: Sponsor will attempt to notify the potential Finalists by email or telephone. Potential Finalists must respond within 48 hours of initial notification attempt and confirm their participation and acceptance of the Finalist designation. All potential Finalists must also sign and return an Affidavit of Eligibility/Release of Liability Form, Publicity Release (where lawful), a Federal Form W-9 (with a valid Social Security number) and submit a photocopy of a valid government issued photo ID (either driver’s license or passport) as validation to verify he is the person in the Photo, within 72 hours of the time Sponsor sends form to potential Finalist. If potential Finalist fails to respond to initial notification by the deadline set forth above, fails to sign and return required documents or provide identification by the deadlines set forth above, refuses to cooperate with a background check (as set forth below), or is not in compliance with these Official Rules (including eligibility requirements), Sponsor may select an alternate Finalist (the non-Finalist Entry with the next highest score) if time permits.

 

WINNER SELECTION/BRACKET PHASE: The winners will be selected in the Bracket Phase, and the Bracket Phase will be divided into three rounds of public voting (each, a “Round”). To begin the Bracket Phase, each Finalist will be given a spot (in Sponsor’s sole discretion) in the eight-person bracket (the “Bracket”). The Bracket will be posted on the contest app on @WahlGrooming Facebook page (https://www.facebook.com/wahlgrooming/) for public voting, which will take place as follows:

·       Round One will begin on April 19, 2022 at 12:00:01 AM CT and end on April 21, 2022 at 11:59:59 PM CT. In Round One, the Finalists paired in each of the four matchups in the Bracket will compete against each other. The Finalist receiving the most votes in each one-on-one matchup will advance to Round Two.

·       Round Two will begin on April 23, 2022 at 12:00:01 AM CT and end on April 25, 2022 at 11:59:59 PM CT. In Round Two, the two remaining Finalists in the top half of the Bracket will compete against each other, and the two remaining Finalists in the bottom half of the Bracket will compete against each other. The Finalist receiving the most votes in each one-on-one matchup will advance to Round Three.

·       Round Three will begin on April 27, 2022 at 12:00:01 AM CT and end on May 4, 2022 at 11:59:59 PM CT. In Round Three, the two remaining Finalists (one from the top half of the Bracket and one from the bottom half of the Bracket) will be paired against each other. The Finalist receiving the most votes will win the first prize (and be named the Wahl College Cuts Champion) and the other remaining Finalist will win the second prize.

If there is a tie in any matchup, the Finalist score is the tie-breaker. Voting totals will be private. The Contest winners will be announced on or around May 11, 2022.

 

CONDITIONS APPLICABLE TO VOTING: Each voter must be located in the United States at the time he or she casts his or her vote, and each vote must be routed through servers located in the United States. Voter must be at least 13 years old. Each voter is limited to one vote per match up in each Round. The use of automated devices for voting is not permitted and will result in the disqualification of all votes received through that method and/or from that voter, if discovered by Sponsor. Any use of robotic, repetitive, automatic, programmed, script, macro, or any other automated means or similar participation methods or agents, vote exchange websites, vote “farming” or other method to vote or unfairly increase votes, as determined by Sponsor in its sole discretion, is prohibited and will void all votes submitted by that voter, if discovered by Sponsor. Sponsor will determine the eligibility of voters and votes in its sole discretion and may disqualify votes at any time. Moreover, if Sponsor concludes, in its sole discretion, that any entrant has colluded with such voter or has participated in or actively encouraged such activity, whether directly or indirectly, Sponsor may disqualify that entrant from further participation in the Contest and or eligibility for prize.

 

BACKGROUND CHECKS: The potential Finalists must agree to a background check, to complete a background check release, and to provide any information that Sponsor reasonably requests to conduct a background check, including Social Security number, and understand that no further notice is required to be provided to them by Sponsor with respect to such background check, and that Sponsor has the right, but not the obligation to conduct such background check prior to identifying a potential Finalist. Factors that may result in disqualification as a Finalist, in Sponsor’s sole discretion, include, without limitation, negative driver history or record, any drug or alcohol dependency, criminal arrests or convictions, civil law suits alleging misconduct - either settled or still pending, and any other fact or allegation that, in Sponsor’s reasonable discretion, would be inconsistent with the image, messages, and goodwill that Sponsor seeks to convey and be associated with, whether such facts are revealed to Sponsor in connection with a background check or otherwise. If a potential Finalist or is disqualified for any reason, the non-Finalist entrant with the next highest scoring Entry may be declared a potential Finalist, as applicable, or the Sponsor may elect not to designate a Finalist, as applicable.

 

WINNER NOTIFICATION AND VERIFICATION: After the close of the Bracket Phase, Sponsor will attempt to notify the potential first and second prize winners by email or telephone. The potential first and second prize winners may be required complete, sign and return, within 72 hours of the time of notification, an Affidavit of Eligibility/Release of Liability Form, Publicity Release (where lawful), and Federal Form W-9 (with a valid Social Security number) as well as any other documents required by Sponsor. The potential winners also will be required to cooperate in publicity activities in connection with the Contest as reasonably required by Sponsor for a period of one year after the awarding of the prize (the “Publicity Period”), and this may include agreement not to participate in publicity activities for other brands during the Publicity Period. Winner will not receive any compensation for publicity activities, and winner’s refusal to participate in such activities could result in forfeiture of prize. Winners must also be deemed to project an image consistent with Wahl’s corporate values during the Publicity Period, and, if Sponsor determines in its sole discretion that winner has failed to do so, winner may forfeit prize. If the releases or any required documentation are not returned within 72 hours, if any prize notification or any prize is returned as undeliverable, if a potential winner does not respond within 24 hours of initial notification attempt, or if a potential winner is found to be ineligible, declines the prize, or otherwise is not in compliance with these Official Rules, the prize may be forfeited, and the non-winning Finalist with the most votes from Round Two may be declared a potential winner, or the Sponsor may elect not to designate a winner for that prize. Winner may be required to forfeit prize after it is awarded if he violates any of the agreements signed with Sponsor.

 

PRIZES

One First Place Prize: In addition to the Finalist prize, the first prize winner will receive $5,000 in the form of a check. The first prize winner will also be designated the “Wahl College Cuts Champion.”

 

One Second Place Prize: In addition to the Finalist prize, the second prize winner will receive $1,000 in the form of a check.

 

Finalist Prizes: Each Finalist prize is one Wahl Clipper with an approximate retail value of $49.99, and a $500 general use prepaid card.

 

Total ARV of all prizes: $10,399.92.

 

Only the stated number of prizes in these Official Rules will be awarded. All other expenses not specified herein are the responsibility of the Finalists and winners. If an inadequate number of qualified winning Entries are received to award the prizes or some of the prizes, Sponsor reserves the right to award fewer than the number of prizes stated above.

 

All federal, state, and/or local taxes (including income taxes), duties, and the like, if any, are the sole responsibility of the winner. The first and second prize winners will be issued an IRS 1099 form for the value of the first or second prize, respectively, and the Finalist prize. No substitution, assignment, redemption for cash, or transfer of any prizes permitted, except that Sponsor reserves the right to substitute a prize of equal or greater value if an offered prize becomes unavailable. Actual value of prizes may vary based on consumer electronic industry fluctuations. Winner will not receive difference between actual and approximate retail value. Cards subject to terms and conditions thereon.

 

Allow 8 to 10 weeks for shipment of all prizes. Sponsor will not be held responsible for any delays in awarding any prize for any reason outside of their control. All prize details are at Sponsor’s sole discretion. A prize will be delivered only to a verified Finalist or winner.

 

GENERAL: By participating in the Contest, entrants agree to release and to indemnify and hold harmless Sponsor, Facebook, Inc., Instagram, and their parent companies, affiliates, subsidiaries, retailers, franchisees, advertising and promotion agencies, judging organization, and any other individual or company involved in the development, promotion, or execution of the Contest, including Premier Business Solutions, LLC, and all of their respective officers, employees, directors, representatives and agents (individually and collectively “Releasees”) from all liability, losses, claims, action, or proceedings, losses, all injuries and damages of any kind to person(s), including death or property resulting, in whole or in part, directly or indirectly, from entrant’s participation in the Contest or any Contest-related activities, or violation of intellectual property or personal rights (such as but not limited to, copyright, patent, trade name/trademark, and/or rights of privacy or publicity or portrayal in a false light) due in whole or in part to acceptance, possession, misuse or use of any prize; or participation in this Contest, or participation in any Contest-related activity and from Sponsor’s use of the Photo and/or Answers as provided for herein. By claiming a prize, the Finalists and winners agree to confirm that consent in writing upon request, to Sponsor and those acting pursuant to the authority of Sponsor, the right, in perpetuity, to the use of his name, voice, picture, image and/or likeness (and notwithstanding anything to the contrary in these Official Rules, Finalists and winners license the use of their Photo and/or Answers to Sponsor, which may be altered, changed, modified, edited, used alone, together or with other works, and/or in distorted form, as solely determined by Sponsor) at any time(s) and in all media now known or hereafter discovered, worldwide, including on the Internet and World Wide Web, for advertising, commercial, trade and promotional purposes without additional compensation unless prohibited by law, and without notice, review or approval. Tennessee residents need not so consent. Entrant agrees that submissions are gratuitous, unsolicited and without restriction, and will not place Sponsor under any obligation, and that Sponsor is free to disclose the ideas contained therein on a non-confidential basis to anyone or otherwise use the ideas without restriction and without any additional compensation to entrant. Entrant acknowledges that, by acceptance of his Entry, Sponsor does not waive any rights to use similar or related ideas from any source. Any waiver of any obligation hereunder by Sponsor does not constitute a general waiver of any obligation to entrant. By entering, entrant acknowledges that Sponsor has no obligation to use or post any Entry submitted and further agrees he will not post or publicly make any disparaging or negative comments about Sponsor or its parent, affiliates, or subsidiaries, or any of their products on any web site or in any other type of media. If a dispute arises regarding compliance with these Official Rules, Sponsor may consider, in its sole discretion, data reasonably available to Sponsor through information technology systems in Sponsor’s control, but Sponsor will not be obligated to consider any data or other information collected from any other source. Any failure by Sponsor to enforce any of these Official Rules will not constitute a waiver of such Official Rules. If there is a conflict between any term of these Official Rules and any marketing or entry materials used in connection with the Contest, the terms of these Official Rules will govern.

 

LIMITATIONS OF LIABILITY: Releasees are not responsible for lost, late, incomplete, damaged, inaccurate, stolen, illegible, delayed, misdirected, separated, or non-delivered Entries; or for lost, interrupted or unavailable satellite, unavailable network, server, Internet Service Provider, website or other connections availability, accessibility or traffic congestion, or miscommunications, or failed computer, network, telephone, satellite, or cable hardware, software or lines, or technical failure, or jumbled, scrambled, delayed, or misdirected transmissions, or computer hardware or software malfunctions, failures or difficulties, or other errors of any kind whether human, mechanical, electronic or network, including typographical, printing, or the incorrect or inaccurate capture of entry or other information or the failure to capture, or loss of, any such information with the administration of the Contest, the processing or judging of Entries, the tabulation of votes, the announcement of the prizes and Finalists, the incorrect uploading of the Photo, or in any Contest-related materials. Releasees are not responsible for any incorrect or inaccurate information, whether caused by website users, or by any equipment or programming associated with or used in this Contest, and assume no responsibility for any error, omission, interruption, deletion, defect or delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or tampering with or hacking of the entry process or voting app. Sponsor reserves the right, at its sole discretion, to disqualify any individual (entrant or voter) it finds to be tampering with the entry process, the voting process, or operation of the Contest or to be acting in violation of the terms of the applicable social media platform or voting app or if such entrant or voter shows a disregard for, or attempts to circumvent, these Official Rules; or if such entrant or voter threatens the integrity of the Contest by posting or otherwise disseminating material on Twitter, Facebook, Instagram, or any other social network that is offensive, vulgar, obscene, or defames anyone or any entity; or if such entrant or voter acts: (i) in a manner the Sponsors determine to be not fair or equitable; (ii) with an intent to annoy, threaten or harass any other entrant, voter or Sponsors; or (iii) in any other disruptive manner. Releasees are not responsible for injury or damage to entrant’s or any other person’s computer related to or resulting from participating in this Contest or downloading, printing, or copying materials from or use of social media or the voting app. If, for any reason, Contest is not capable of running as planned by reason of infection by computer virus, worms, bugs, tampering, hacking, unauthorized intervention, fraud, technical failures, or any other causes that, in the sole opinion of the Sponsor, corrupt or affect the administration, security, fairness, integrity or proper conduct of this Contest, Sponsor reserves the right, at its sole discretion, to cancel, terminate, modify, or suspend Contest. If Sponsor terminates the Contest during the Entry Period, Sponsor will determine the Finalists from eligible, non-suspect Entries received prior to action taken, or as otherwise deemed fair and equitable by Sponsor, and Sponsor will determine the winners by applying the judging criteria set forth above but without a public vote, or as otherwise deemed fair and equitable by Sponsor. If Sponsor terminates the Contest during the Bracket Phase, Sponsor will determine the winners from eligible, non-suspect votes received prior to action taken, or as otherwise deemed fair and equitable by Sponsor. If Sponsor terminates, modifies, or suspends the Contest, Sponsor shall post notice at www.WahlUSA.com and on Sponsor’s Facebook and Instagram pages.

 

DISPUTES: As a condition of entering, entrants agree (a) under no circumstances will entrant be permitted to obtain awards for, and participant hereby waives all rights to claim punitive, incidental, consequential, or any other damages, other than for actual out-of-pocket expenses; (b) all causes of action arising out of or related to this Contest, or any prize awarded, will be resolved individually, without resort to any form of class action; and (c) all claims, judgments and award will be limited to actual out-of-pocket costs incurred, excluding attorneys' fees and court costs.

 

JURISDICTION/CHOICE OF LAW: By entering, entrants agree that this Contest will be governed by the laws of the State of Illinois and agree to venue and jurisdiction solely in Whiteside County, Illinois for the resolution of all disputes.

 

WINNERS LIST: To view the winners log on to Wahl Grooming’s Facebook page (https://facebook.com/wahlgrooming/) or @wahlgrooming on Instagram and click on the “Wahl College Cuts Championship” page tab to access the Contest Application on or about May 11, 2022. The winners list will remain available for a period of up to sixty days.
